ROC Change/Address Change

A company’s registered office is its official address with the Registrar of Companies, and changing it follows different routes depending on how far you move. Within the same city, a Board resolution and Form INC-22 are enough. Outside the city but within the same ROC jurisdiction, a special resolution, MGT-14 and INC-22 are needed. To another ROC in the same state, Regional Director approval through INC-23 is required, followed by INC-28 and INC-22. To another state, the situation clause of the MOA must also be altered and the Regional Director or Central Government must confirm the change.

What is ROC Change/Address Change?

The registered office is the address where the company receives official notices and communications, and it determines which Registrar of Companies has jurisdiction over the company. Changing it, which is sometimes also called an ROC change when the new address falls under a different ROC, requires intimation to or approval from authorities under Section 12 and Section 13 of the Companies Act, 2013.

Moving within the same city, town or village needs only a Board resolution and filing of INC-22. Moving outside the city but within the same ROC needs a special resolution, MGT-14 within 30 days and INC-22. Moving to a different ROC within the same state needs Regional Director approval through INC-23, followed by INC-28 and INC-22. Moving to another state requires alteration of the MOA’s situation clause (Clause II), a special resolution, INC-23 and confirmation by the Regional Director or Central Government.
