What is Removal of Director?
Removal of a director is the cessation of a director’s office before the term ends, by shareholders passing an ordinary resolution at a general meeting after special notice, as provided in Section 169 of the Companies Act, 2013. It differs from resignation under Section 168, where the director leaves voluntarily by giving notice to the company.
Removal requires the shareholders’ action; the Board cannot remove a director on its own. A shareholder gives special notice to the company of the intention to move the resolution, the Board calls a general meeting and the resolution is passed by a simple majority. Because removal can be contentious, the process should be followed carefully, and the sources we reviewed give limited detail on hearing rights, which should be confirmed against the Act.
