Organisation DSC

An Organisation DSC is a Class 3 digital signature certificate issued to an authorised signatory in the name of an organisation, such as a company, LLP, firm or institution. It allows that person to sign electronic documents and filings on behalf of the entity, and it identifies both the individual and the organisation in the certificate.

Service Overview

What is Organisation DSC?

An Organisation DSC is a Class 3 digital signature certificate in which the certificate holder is an individual acting for a named organisation. Where a standard DSC identifies only a person, an organisation DSC adds the entity’s name, so a signature made with it shows that the person signed on behalf of the organisation.

Like any DSC it has the same legal validity under the Information Technology Act, 2000 and is issued by Certifying Authorities licensed by the CCA. Sources we reviewed note that organisation DSCs are used for e-tenders, GST and other portal filings, and for signing electronic documents in the entity’s name.

Organisation DSC

Who Needs This Service

Companies, LLPs, partnership firms, trusts and government-linked institutions that want a designated person to sign on their behalf need an organisation DSC. Procurement and tender teams use it to submit bids, finance teams use it for tax and regulatory filings, and compliance officers use it for portal submissions.

It is particularly useful for organisations that bid regularly for government or PSU tenders, where the portal may require the organisation's identity to appear in the certificate. It also simplifies management when the signatory changes, because the organisation can authorise a new person and obtain a fresh certificate.

If your only need is for directors to sign MCA forms, individual Class 3 DSCs for directors may be enough. Check the portal requirements before choosing.

Key Benefits

  • Signatures that carry the organisation's identity along with the signatory's
  • Suited for e-tenders, GST and MCA filings
  • Clear authorisation trail through the letter of authority
  • Easy replacement when the authorised person changes
  • Issued by licensed Certifying Authorities with legal validity

Next Steps & Related Services

After issue, register the DSC on the portals where it will be used.

Related services: DSC, GST Registration, GeM Registration, Annual Compliance and ROC Compliance.

Common Mistakes

  • Missing the authorisation letter or using one without proper company authority.
  • Applying in the wrong entity name or PAN.
  • Not revoking the certificate when the signatory leaves.
  • Using an individual DSC for an e-tender that needs an organisation certificate.
  • Ignoring the Certifying Authority's validity and renewal reminders.

Timeline, Costs & Practical Tips

Issuance typically takes a few days because the organisation's documents and the signatory's identity are both verified. Fees depend on the Certifying Authority and validity.

Practical tip: prepare the authorisation letter on company letterhead and the organisation's PAN and incorporation proof in advance, and keep a record of who holds the token.

Additional Information

Under the Information Technology Act, 2000, digital signature certificates can identify the holder along with the organisation they represent. Organisation certificates are used when filings or contracts need to carry the entity's identity, for example in e-tenders and company filings. The Certifying Authority verifies the entity through documents such as PAN and incorporation proof, and the authorised signatory through KYC. This matters because it creates a clear chain of authority: if the person leaves, the certificate can be revoked so that the organisation is not bound by someone who is no longer authorised.

Practical Scenarios

Scenario 1:

A manufacturing company bids regularly for government tenders and obtains an organisation DSC for its authorised signatory so that bids carry the company's identity.

Scenario 2:

A finance manager who files GST and MCA returns is replaced, and the company revokes the old certificate and issues a new one to the new signatory.

Scenario 3:

An LLP with several partners decides to use one authorised signatory for portal filings instead of sharing individual tokens.
