DIR 3 KYC

DIR-3 KYC is the Know-Your-Customer filing that every individual holding an approved DIN must complete with the Ministry of Corporate Affairs, whether or not they are currently a director. It confirms the DIN holder’s personal details, mobile number and email through OTP verification. If it is not filed by the due date, the DIN is marked ‘Deactivated due to non-filing of DIR-3 KYC’, and the person cannot sign MCA forms until it is reactivated with a fee of Rs 5,000.

Service Overview

What is DIR 3 KYC?

DIR-3 KYC is required under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014 from every person allotted a Director Identification Number. The filing keeps the MCA database of directors accurate and verified, and it applies to all DIN holders, including those who have resigned but have not surrendered their DIN.

There are two forms. The DIR-3 KYC e-form is used for the first filing or when details such as mobile number or email change; it needs identity proof, address proof and a photograph, along with a digital signature and certification by a CA, CS or cost accountant. The DIR-3 KYC-WEB form is a simplified web-based process for repeat filers with no change, and it needs only OTP verification of the registered mobile number and email, with a zero-rupee challan.

DIR 3 KYC

Who Needs This Service

Every director and every person who holds a DIN needs to complete DIR-3 KYC. That includes directors of private and public companies, designated partners of LLPs, persons who have resigned but still have an active DIN, and people who obtained a DIN for a future directorship but have not yet been appointed.

Companies also have a direct interest. If a director's DIN is deactivated, the director cannot sign forms, and the company may be unable to file annual returns, appointment forms or other statutory filings on time, which can lead to late fees and penalties.

If you hold directorships in several companies, you file one KYC for your DIN, not one per company. If you no longer want a DIN, you can apply to surrender it after resigning from all directorships.

Keeping your mobile number and email updated and unique is important, because the OTP verification depends on them.

Key Benefits

  • Avoids DIN deactivation and the Rs 5,000 reactivation fee
  • OTP-verified, error-free filing
  • Tracking of the correct due date under the latest MCA notification
  • Protects the company's ability to file forms signed by the director
  • One filing covers all companies linked to the DIN

Next Steps & Related Services

After filing, keep the acknowledgement and watch for the next due date.

Related services: DSC, Addition of Director, Removal of Director, Annual Compliance and ROC Compliance.

Common Mistakes

  • Assuming it is only for current directors; resigned directors with active DINs must also file.
  • Using a mobile number or email shared with another DIN holder.
  • Missing the due date and finding the DIN deactivated just before a filing.
  • Using the web-based form when details have changed, instead of the e-form.
  • Relying on old guides for the due date.

Timeline, Costs & Practical Tips

The web-based DIR-3 KYC-WEB takes minutes with OTP verification, while the e-form takes longer because of attachments and certification. There is no government fee if filed on time, and Rs 5,000 to reactivate a deactivated DIN.

Practical tip: keep your registered mobile and email active, and verify the current due date on mca.gov.in, since newer sources describe a three-year cycle.
