What is Co. Name Change?
Change of company name is the legal alteration of the name clause of a company’s Memorandum of Association, and the corresponding Articles, under Sections 13 and 14 of the Companies Act, 2013. It requires shareholder approval by special resolution, which means at least 75% of the votes cast in favour, and then the approval of the Central Government.
After approval, the Registrar enters the new name in the register of companies, notes the former name, and issues a new Certificate of Incorporation. The company’s legal identity continues; only its name changes. Any pending legal proceedings by or against the company continue under the new name, and existing rights and obligations are not affected.
