What is Closure of a Company?
Closure, or strike-off, of a company means removing the company’s name from the Register of Companies so that it ceases to exist legally. Under Section 248, the Registrar can strike off a defunct company on its own initiative (Form STK-1) or on the company’s application (Form STK-2). Once the Registrar publishes the notice of dissolution in the Official Gazette (STK-7), the company stands dissolved.
It is different from simply stopping operations or becoming dormant. A company that is merely inactive still has to file annual returns and pay compliance costs, and its directors remain responsible. A formally struck-off company no longer has those obligations, but directors’ liability for undisclosed liabilities continues after dissolution under Section 248(7), so the closure must be done honestly and completely.
