What is Addition of Director?
Appointment of a director is the process by which a company’s Board or shareholders appoint an individual to the Board under the Companies Act, 2013. Only an individual can be a director, as Section 149 provides. A director owes duties to the company and is responsible for its governance, and is therefore subject to qualification and disqualification rules, including Section 164.
An additional director is appointed by the Board if the Articles authorise it, and holds office until the next annual general meeting, when the shareholders must regularise the appointment. A director appointed by shareholders at a general meeting follows the general appointment rules. Where the company has a Nomination and Remuneration Committee, its recommendation is needed.
